Terms of Service

You are shopping on the Brakes Rotors Pads Outlet website (the “Merchant”). If you place an order for delivery to an address outside of the Merchant’s country (an “International Order”), you will be purchasing the products from Reach as we describe below. Depending on your location, “Reach” means With Reach (EU) Limited ÖU (Reg. No. 14571597, “Reach EU”), Reach Ltd. (“Reach Canada”), With Reach (Australia) Pty. Ltd. (“Reach Australia”), With Reach UK Ltd. (Reg. No. 08507554, “Reach UK”), or With Reach (USA) LLC (“Reach USA”).

If you place an International Order, the products you purchase are sold to you by Reach. Reach is the “Merchant of Record” for your purchase. You will provide Reach (and not the Merchant) directly with your payment information, shipping address, and any other information necessary or requested to complete your order so that Reach can process your payment and complete your order.

Your order is subject to the following terms: (1) the Reach Terms of Service; (2) the Reach Privacy Policy; and (3) any relevant terms and conditions set by the merchant. By completing your purchase, you acknowledge that you have read and agree to be bound by all of these terms and conditions.

By placing an international order on a merchant's website, you understand and agree that:

You are purchasing items from Reach and providing it with your information. Reach reserves the right to verify and authenticate your payment information and, if unable to verify this information, may contact you and/or your payment card issuer to confirm your identity and/or your intent to place an order.

If there is an error in the price of a product listed on a merchant's website or in the price of a product applied during the sale and processing of your order for a product, Reach reserves the right to contact you, correct the price, and/or cancel your order.

If Reach is able to successfully verify your payment information, Reach will process the payment details for your order to you, the merchant of record, as the seller of the product.

Once Reach has processed your payment information and the transaction is verified, the items in your order will be provided to the carrier for shipment to you, at which point title to the items will transfer from Reach as the merchant of record to you.

Reach will instruct the carrier to ship your order to the shipping address you provide. Certain addresses are not eligible for shipping, such as P.O. Box addresses.

Reach may refuse to provide service, refuse to process or complete an order, remove or edit content, or cancel an order for any or no reason in its sole discretion.

If you are under the age of majority in your jurisdiction, you will need parental or guardian consent to complete your purchase.

In some jurisdictions, Reach obtains payment processing services through affiliates or third-party service providers. In such cases, such affiliates and third parties are obligated to comply with strict privacy and data protection requirements under their contracts with Reach.

Here are some other things to know about international orders:

Currency. You can select your preferred payment method and currency from a list of options during checkout. Please note that the relative value of different currencies may vary, and therefore, the actual purchase price of the items in your order may vary depending on the currency selected.

Billing. If you use a payment card or other electronic payment method as your method of payment, your bank or payment card statement will include a reference to "Reach" and the merchant.

Shipping. The items in your order may be shipped in a single shipment or in multiple shipments. If the items in your order are shipped in multiple shipments, or if only part of your order is shipped, you will only be charged for the items that are actually shipped.

Chargebacks, Fraud Prevention, and Voided Transactions. For your protection, Reach may use various fraud prevention protocols and policies and industry-standard verification systems to reduce fraud and minimize the risk of chargebacks. You must comply with such protocols and policies, including card authentication and "ship to" and "billing to" verification. You may not change any verified payment information or any verified

"ship to"/"billing to" addresses after an order has been placed. If a system error causes a transaction to be processed or accepted for which authorization was declined, the transaction will be void.

Customer Service and Returns. If you have any questions or concerns about your order, please contact the merchant or Reach directly. Reach will work with the merchant as needed to resolve your issue. If the merchant allows returns on international orders, Reach will assist you in processing the return in accordance with the merchant's policies, including, if authorized by the merchant, refunding the original sales price of the returned merchandise. Reach may deny any return request if there are restrictions on returnable merchandise.

Disclaimer and Limitation of Liability. If you reside in the Province of Quebec, Canada, this paragraph does not apply to you. REACH provides the Services on an "as is" and "as available" basis. To the extent permitted by law, REACH makes no representations or warranties, express or implied, about the products displayed or ordered on the merchant's website, the services provided by REACH, or the information or content displayed on or accessible through the merchant's website, including the checkout process. You expressly agree that your use of the REACH Services is at your sole risk. REACH does not guarantee the accuracy, reliability or completeness of any product images, descriptions or specifications provided on the merchant's website. REACH will make reasonable efforts to require merchants to honor the limited warranties on the products sold to you on their website, and if REACH is successful, REACH

will pass those warranties on to you.

NEITHER REACH NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, VENDORS OR SUPPLIERS SHALL BE LIABLE FOR ANY INDIRECT, DIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING, WITHOUT LIMITATION, ANY LOSS OF DATA OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) REACH’S SERVICES OR PRODUCTS PURCHASED THROUGH REACH, EVEN IF REACH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF REACH IS FOUND LIABLE FOR ANY DAMAGES OR LOSSES ARISING FROM YOUR USE OF REACH’S SERVICES OR ANY PRODUCTS PURCHASED THROUGH REACH, THEN REACH’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED $100.

INTELLECTUAL PROPERTY. All content on the Merchant Sites, including during the checkout process, such as software, object code, source code, text, graphics, logos, button icons, images, audio clips, and digital downloads, is the property of Reach, Merchant, or its respective licensors, as the case may be, and is protected by U.S. and international copyright laws. All designs, graphics, logos, page headers, button icons, scripts and service names are trademarks or registered trademarks of Merchant or Reach, as applicable, in the United States and/or other countries. You may not use such trademarks without the prior written authorization of Merchant or Reach, as applicable.

General Terms. When you place an international order through the Merchant Site, the following general terms apply:

Compliance with Applicable Laws. You warrant that any products purchased through international orders will not be exported, sold or transferred in violation of any applicable laws, including, without limitation, the U.S. Export Administration Regulations or applicable U.S. sanctions and embargoes administered by the U.S. Department of the Treasury. You are responsible for understanding the laws of the country of destination to which any products you order from the Merchant Site may be imported. By placing an international order, you warrant that the importation of the products you order into the country of the shipping address you provide will not violate any laws or regulations of that country.

Privacy. In order to fulfill your international order, you will provide Reach with personal information and consent to Reach and its service providers collecting, using, processing, disclosing and/or storing your personal information as necessary to process and fulfill your order and provide the services you have requested, in accordance with Reach's Privacy Policy. Reach is not responsible for the collection, use, processing, disclosure or storage of your personal information by the Merchant or any service provider engaged by the Merchant. The collection, use, processing, disclosure and/or storage of your personal information by the Merchant or its service providers is subject to the Merchant's privacy policy. Merchant and Reach may analyze transaction data to identify trends, statistics and metrics that may help improve the Merchant's customer experience and/or the services provided by Reach. Any transaction data analyzed for this purpose will be aggregated and anonymized, meaning that any personally identifiable information will be removed.

Electronic Communications. When you place an international order through the Merchant's Website, you are communicating with Reach electronically and you consent to enter into this Agreement electronically and to receive communications from Reach electronically/email.

Modifications. You acknowledge that Reach may modify its systems, policies and these Terms of Service at any time. Reach will ensure that the most current version of the Terms of Service is displayed each time you place an international order on the Merchant's Website. It is your responsibility to review these Terms of Service each time you place an international order. If you do not agree to any changes to the Terms of Service, do not complete your order. Any orders placed after the effective date of a change will be deemed to constitute your agreement to the change and the then-current Terms of Service.

Severability. If any or any part of these Terms of Service is found to be invalid, void, or for any reason unenforceable, that provision or part of the provision will be severed and will not affect the validity and enforceability of the remaining provisions.

Governing Law. If you reside in Canada (excluding the Province of Quebec), these Terms of Service will be governed by and construed in accordance with the laws of Canada. If you reside in Quebec, these Terms of Service will be governed by and construed in accordance with the laws of Quebec and the laws of Canada applicable in Quebec. If you reside in Australia, these Terms of Service will be governed by and construed in accordance with the laws of Australia. If you reside in the United States, these Terms of Service will be governed by and construed in accordance with the laws of the United States. If you reside in the European Union, these Terms of Service will be governed by and construed in accordance with the laws of Estonia. Otherwise, these Terms of Service will be governed by and construed in accordance with the laws of England and Wales.

Litigation. Any action or proceeding arising out of or related to these Terms of Service shall be brought in the courts of England and Wales and you hereby irrevocably consent to the jurisdiction of the courts of London, England for all such actions.

Language. The parties agree and expressly require that this Agreement and all related documents be drawn up in the English language. The parties hereto agree that the Contract and all documents shall be drawn up in the English language for their convenience and urgency.
